1. Applicability
These Terms and Conditions of Sale ("Terms") apply to all quotations, orders and sales of products and services by FlowLite ("FlowLite", "we") to its customers ("Buyer"). They are business-to-business terms. Any additional or different terms proposed by Buyer, including those in a purchase order, are rejected unless FlowLite agrees to them in writing.
2. Quotations and orders
Quotations are valid for thirty (30) days unless stated otherwise and may be withdrawn before acceptance. An order is binding only when FlowLite accepts it in writing or ships the products. FlowLite may correct clerical errors in quotations, acknowledgments and invoices.
3. Pricing and taxes
Prices are those in FlowLite's written quotation or order acknowledgment and exclude freight, insurance, duties and taxes, which Buyer will pay unless a valid exemption certificate is provided. Prices for orders scheduled to ship more than ninety (90) days after acceptance may be adjusted for documented changes in material or component costs.
4. Payment terms
Payment is due thirty (30) days from the invoice date for Buyers with approved credit; otherwise payment is due before shipment. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. FlowLite may suspend shipments or require advance payment if an account is past due or Buyer's credit becomes unsatisfactory.
5. Shipping, title and risk of loss
Unless agreed otherwise, products ship from FlowLite's facility, and title and risk of loss pass to Buyer when products are delivered to the carrier. Shipping dates are estimates. FlowLite will make reasonable efforts to meet them but is not liable for delays. Partial shipments are permitted and may be invoiced separately.
6. Inspection and claims
Buyer must inspect shipments on receipt. Visible damage must be noted on the carrier's delivery receipt. Claims for shortages, incorrect products or shipping damage must be made in writing within five (5) business days of delivery. Products not rejected within that period are deemed accepted, without affecting the warranty.
7. Returns
No product may be returned without a Return Material Authorization (RMA) issued by FlowLite. Standard, unused products in original, resalable packaging may be returned within thirty (30) days of shipment, subject to a restocking fee and return freight paid by Buyer. Custom, made-to-order, cut-to-length, modified or discontinued products are not returnable.
8. Changes and cancellations
Orders for standard products may be changed or cancelled before shipment with FlowLite's written consent, and cancellation charges may apply. Orders for custom or made-to-order products cannot be cancelled once production has begun, and Buyer is responsible for costs incurred.
9. Warranty
Products are covered by FlowLite's limited warranty as published in our Warranty Information, which is incorporated into these Terms. That warranty is Buyer's sole remedy for defective products.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FLOWLITE SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF USE, DELAY OR INSTALLATION AND REMOVAL COSTS, WHETHER IN CONTRACT, TORT OR OTHERWISE. FLOWLITE'S TOTAL LIABILITY ARISING FROM ANY ORDER SHALL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
11. Product information and changes
Specifications, photometric data, literature and website content are provided for guidance and may change without notice. FlowLite may modify and improve product designs without notice. FlowLite cannot guarantee that products from later orders will match previously installed products in appearance, color temperature or lumen output.
12. Installation and compliance
Products must be installed and serviced by qualified, licensed electricians in accordance with FlowLite's instructions and all applicable codes. Buyer is responsible for selecting products suitable for the intended application and location, including location ratings, and for compliance with project specifications and local requirements.
13. Intellectual property
FlowLite retains all rights to its trademarks, designs, drawings, literature, photometric files and other intellectual property. The sale of products grants no license to manufacture or reproduce them. Drawings and files may be used only to specify and install FlowLite products.
14. Force majeure
FlowLite is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, labor disputes, supply chain disruptions, shortages of materials or components, carrier delays or government action.
15. Governing law
These Terms are governed by the laws of the State in which FlowLite has its principal place of business, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Confirm with counsel
16. General
These Terms, together with FlowLite's quotation or order acknowledgment and the Warranty Information, are the entire agreement between the parties for each sale. If any provision is found unenforceable, the rest remain in effect. FlowLite's failure to enforce a provision is not a waiver. Buyer may not assign an order without FlowLite's written consent.
